These Terms of Service (the "Terms") form a binding agreement between Dandelion Development Inc., doing business as easyAIQ ("we", "us") and the business or organization that accepts them (the "Customer" or "you"). The person accepting confirms they have authority to bind the Customer.
You accept these Terms by signing an Order Form that references them, by clicking to accept, or by using the Service. If you do not have authority or do not agree, do not use the Service.
The Service is for business use only. You confirm you are not acting as a consumer.
If these Terms and an Order Form conflict, the Order Form controls. The DPA controls on matters of personal data processing.
During your subscription, we grant you a non-exclusive, non-transferable right for your Authorized Users to access and use the Service for your internal business purposes, within the limits in your Order Form.
We may update and improve the Service. We will not materially reduce its core functionality during a paid subscription term. Beta or preview features are provided "as is", and may change or end at any time.
You and your Authorized Users must not:
We may suspend access, limited to the extent reasonably necessary, if your use violates this section or threatens the security or availability of the Service. We will give notice and a chance to fix the problem where practical.
You own your content. As between you and us, you keep all rights in Customer Content, including Outputs. To the extent we have any rights in Outputs, we assign them to you.
License to us. You grant us a worldwide, limited license to host, copy, process, transmit and display Customer Content only as needed to provide, secure and support the Service, and as described in the DPA and our Privacy Policy at easyaiq.com/privacy.
No training. We will not use Customer Content to train or fine-tune any AI model, and our AI model providers are contractually prohibited from doing so.
Your responsibilities. You are responsible for the accuracy, legality and quality of Customer Content, and for having all rights, notices and consents needed for us to process it, including any personal data it contains.
Aggregated data. We may collect usage metrics about the Service (such as feature use, query volumes and performance) and use them in aggregated or de-identified form to operate and improve the Service. This never includes the content of documents, prompts or Outputs.
Outputs are generated by machine-learning models from your documents and questions. You acknowledge that:
You must not present Outputs as human-written where that would mislead, or where law requires AI-generated content to be disclosed.
Each subscription runs for the term in your Order Form and renews automatically for successive periods of the same length unless either party gives notice of non-renewal at least 30 days before the end of the current term. Self-serve monthly plans can be cancelled at any time from account settings, effective at the end of the billing period.
We may change prices for a renewal term by giving at least 60 days' notice before the term ends.
"Confidential Information" means non-public information one party discloses to the other that is marked confidential or that a reasonable person would understand to be confidential. Customer Content is your Confidential Information. Our non-public pricing, security documentation and product roadmaps are ours.
The receiving party will use Confidential Information only to perform under these Terms, protect it with at least reasonable care, and share it only with employees, contractors and subprocessors who need to know it and are bound by similar duties.
These duties do not apply to information that is or becomes public through no fault of the recipient, was already known to it, is independently developed, or is lawfully received from a third party. A party may disclose information when legally required, after giving prompt notice where lawful.
We will maintain the security measures described in the DPA and our Privacy Policy. When we process personal data in Customer Content, we do so as your processor or service provider under the DPA. Our Privacy Policy at easyaiq.com/privacy explains how we handle personal data we control, such as account and billing details.
We will notify you without undue delay, and in any case within 72 hours, after confirming a security breach affecting your Customer Content.
We and our licensors own the Service, including its software, the models we develop and its design, and all improvements to them. Apart from the rights expressly granted in these Terms, no rights pass to you.
If you give us suggestions or feedback, we may use them freely without obligation to you. Feedback does not include Customer Content.
We warrant that, during your subscription, (a) the Service will perform materially as described in your Order Form, and (b) we will not materially reduce the security of the Service. If we breach this warranty and cannot fix it within 30 days of your written notice, you may terminate the affected subscription and receive a refund of prepaid fees for the remaining term. This is your sole remedy for breach of warranty.
Each party warrants that it has authority to enter into these Terms and will comply with laws that apply to it.
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE AND OUTPUTS ARE PROVIDED "AS IS". WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT OUTPUTS WILL BE ACCURATE, COMPLETE OR RELIABLE.
By us. We will defend you against any third-party claim alleging that the Service, as we provide it, infringes that party's intellectual property rights, and pay damages finally awarded or agreed in settlement. This does not cover claims arising from Customer Content, Outputs, combinations with things we did not provide, modifications not made by us, or use that breaches these Terms. If such a claim arises, we may obtain a license, modify the Service, or end the affected subscription and refund prepaid fees for the remaining term.
By you. You will defend us against any third-party claim arising from Customer Content, or from your or your Authorized Users' breach of Section 5 (Acceptable use), and pay damages finally awarded or agreed in settlement.
Process. The indemnified party must give prompt notice, let the indemnifying party control the defense and settlement, and provide reasonable cooperation. No settlement may impose liability on the indemnified party without its consent.
NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL OR DATA, EVEN IF ADVISED OF THEIR POSSIBILITY.
EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE FEES PAID OR PAYABLE BY YOU IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limits do not apply to your payment obligations, either party's indemnification obligations, breach of Section 10 (Confidentiality), or liability that cannot be limited by law, such as for fraud, gross negligence or wilful misconduct.
The Service does not include an export feature. You keep the original files you upload, and you are responsible for saving any Outputs you want to keep before your subscription ends. After termination we will delete Customer Content as described in the DPA and our Privacy Policy, unless the law requires us to keep it. Sections that by their nature should survive termination, including 6, 7, 10, 12 to 15 and 18 to 20, will survive.
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. The state and federal courts located in Orange County, California have exclusive jurisdiction, and each party consents to them. The UN Convention on Contracts for the International Sale of Goods does not apply.
Before starting proceedings, the parties will try in good faith to resolve a dispute through senior representatives for 30 days. Either party may seek urgent injunctive relief at any time.
We may update these Terms by posting a new version and notifying account administrators at least 30 days before the changes take effect. Changes apply from your next renewal term, unless they are required by law or address new features. If you object to a change, you may decline to renew. Changes do not override a signed Order Form or negotiated agreement.
